Terms of Service

01

Background

These Terms of Service ("Terms") govern access to and use of the Momentum One platform, software, applications, and services (collectively, the "Services"). The Services are provided by Momentum One W.L.L. ("Momentum One", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.

02

Interpretation

Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. References to "including" mean "including without limitation".

03

Definitions

"Customer" means the business or legal entity entering into this Agreement.

"Authorised User" means an individual permitted by the Customer to access the Services.

"Early Access" means the limited founding access programme offered prior to general availability.

"General Availability" or "GA" means the standard commercial availability of the Services.

"Customer Data" means data submitted to the Services by or on behalf of the Customer.

04

Acceptance of the Agreement

These Terms become binding when you click "I agree", create an account, or otherwise access or use the Services. If you accept these Terms on behalf of an entity, you represent that you have authority to bind that entity. If you do not have such authority, you must not use the Services.

05

The Momentum One Services

Momentum One provides a unified operational platform for managing memberships, bookings, payments, staff, and related business operations. The Services may evolve over time as part of normal product development. Momentum One is provided as a single integrated system and not as separate modular components.

06

Licence and Right to Use

Subject to these Terms and payment of applicable fees, Momentum One grants the Customer a limited, non-exclusive, non-transferable licence to access and use the Services for its internal business operations. No ownership rights are transferred.

07

Accounts, Access, and Authorised Users

The Customer is responsible for maintaining the security of its account credentials and for all activity conducted by Authorised Users. The Customer must ensure that Authorised Users comply with these Terms. Momentum One is not responsible for unauthorised access resulting from Customer actions or omissions.

08

Early Access Programme

If the Customer participates in Early Access, use of the Services is subject to any additional Early Access terms communicated at onboarding. Early Access provides access to the full platform but may involve closer collaboration, feedback, and iterative improvements. Early Access availability is limited and may be closed at any time.

09

Pricing, Billing, and Payment

Fees are charged on a subscription basis as disclosed at the time of purchase. Prices are transparent and not subject to feature-based tiers or add-ons. Fees are exclusive of applicable taxes, which the Customer is responsible for paying. Failure to pay fees may result in suspension of access.

10

Renewals and Cancellation

Subscriptions renew automatically unless cancelled in accordance with the applicable notice period. The Customer may cancel its subscription as permitted under these Terms. Upon cancellation, access to the Services will continue until the end of the current billing period unless otherwise stated.

11

Customer Obligations

The Customer agrees to use the Services only for lawful business purposes and in compliance with applicable laws. The Customer is responsible for the accuracy and legality of Customer Data and for obtaining any required consents from end users.

12

Company Obligations

Momentum One will make reasonable efforts to provide the Services in accordance with these Terms and to maintain the security and integrity of the platform. Momentum One does not guarantee uninterrupted or error-free operation.

13

Fair Use

The Services are provided under a fair use policy intended to support standard commercial operation. Usage patterns that materially exceed typical operational norms may require discussion or a tailored agreement. Momentum One will not restrict access without prior communication.

14

Intellectual Property Rights

Momentum One retains all rights, title, and interest in the Services, including all intellectual property. Customer Data remains the property of the Customer. Feedback provided to Momentum One may be used to improve the Services without obligation.

15

Data and Content

The Customer retains ownership of Customer Data. Momentum One processes Customer Data solely to provide the Services and in accordance with its Privacy Policy and any applicable Data Processing Addendum.

16

Confidentiality

Each party agrees to protect the other party's confidential information and to use it only for purposes related to this Agreement. Confidentiality obligations survive termination.

17

Data Protection and Privacy

Momentum One processes personal data in accordance with applicable data protection laws. Details of data handling practices are set out in the Privacy Policy and any applicable Data Processing Addendum.

18

Sub-processing

Momentum One may engage sub-processors to deliver the Services. Momentum One remains responsible for the acts and omissions of its sub-processors in accordance with these Terms.

19

Data Transfers

Customer Data may be processed or stored in jurisdictions outside the Customer's country. Momentum One will take reasonable steps to ensure appropriate safeguards are in place.

20

Audit and Records

Where required by law or agreement, Momentum One will maintain appropriate records relating to its obligations under these Terms.

21

Indemnities

Each party agrees to indemnify the other against claims arising from its breach of these Terms or applicable law, subject to the limitations set out below.

22

Limitation of Liability

To the maximum extent permitted by law, Momentum One's total liability arising out of or relating to the Services is limited to the fees paid by the Customer in the preceding twelve months. Momentum One is not liable for indirect, incidental, or consequential damages.

23

Force Majeure

Neither party is liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, acts of government, or service outages beyond control.

24

Suspension and Termination

Momentum One may suspend or terminate access to the Services for material breach of these Terms, non-payment, or unlawful use. Suspension will be proportionate and communicated where possible.

25

Effects of Termination

Upon termination, the Customer's access to the Services will cease. Customer Data may be made available for export for a limited period, after which it may be deleted in accordance with Momentum One's data retention practices.

26

Changes to the Agreement, Services, and Fees

Momentum One may update these Terms, the Services, or pricing from time to time. Material changes will be communicated in advance where reasonably possible.

27

Assignment

The Customer may not assign this Agreement without prior written consent. Momentum One may assign these Terms as part of a corporate restructuring or sale.

28

Relationship of the Parties

The parties are independent contractors. Nothing in these Terms creates a partnership, agency, or joint venture.

29

Governing Law and Jurisdiction

These Terms are governed by the laws of the Kingdom of Bahrain. Courts of Bahrain have exclusive jurisdiction.

30

Notices

Notices may be provided electronically via the Services or by email to the registered contact details.

31

Entire Agreement

These Terms constitute the entire agreement between the parties regarding the Services and supersede all prior agreements or understandings.

32

Schedules

Additional schedules or appendices, including any Data Processing Addendum or Early Access terms, form part of this Agreement where applicable.
